About the Job:

As Senior Corporate Paralegal, you will meaningfully impact Rent the Runway and its Legal team, primarily by assisting with public company filings and processes, and managing administrative aspects of the Legal team to ensure its operational effectiveness.

You will report to the Chief Legal & Administrative Officer & Corporate Secretary and collaborate closely with the other members of the Legal team.

You will be based in our Brooklyn HQ, in-office 4 days a week and work remotely on Fridays.

Core Responsibilities:

Corporate Governance & Public Company Compliance:

  • Assist with public company SEC filings and compliance, including Edgar code management, Section 16 filings, current and periodic reports, the proxy statement, and registration statements.
  • Manage corporate secretary recordkeeping and files, including Board minutes and materials, attendance records, and documentation related to Directors and Officers.
  • Support RTR’s equity compensation team, including support for beneficial ownership calculation and insider trading program compliance, including trading window management and annual training.
  • Provide governance support and recordkeeping for RTR’s subsidiary in Galway, Ireland, including facilitating annual board meetings and filings.

Contract/Commercial Management:

  • Oversee the complete contract lifecycle, including intake, execution, renewal, and termination.
  • Serve as the primary liaison for internal stakeholders regarding contract needs, status, and timelines. Manage quarterly business reviews with cross-functional teams.
  • Support legal team on aspects of marketing, advertising, and partnership initiatives, which includes managing sweepstakes.

Legal Operations & Support:

  • Manage the Legal budget and tracking, support the accounting teams accrual process, and coordinate with outside counsel as needed.
  • Support the Legal team with information requests as needed (e.g., due diligence, data rooms, audits, litigation responses, vendor screening).
  • Act as a Legal team ambassador, connecting business teams with resources and playbooks for legal questions

About You:

  • 6+ years of relevant in-house or law firm experience.
  • Expertise with Section 16 filings, proxy statement filings, and managing corporate secretary/board records.
  • Experience managing a contract lifecycle management platform (SpotDraft experience a plus).
  • Excellent organizational skills, with keen attention to detail, thoroughness, and accuracy.
  • Strong ability in Excel and Google Suite.
  • Experience with Diligent, Workiva and Shareworks is a plus.
  • An ability to work in a fast-paced environment, and to prioritize and manage multiple critical projects under tight deadlines.
  • Unquestioned integrity and an ability to work on sensitive and confidential matters.
  • Interested in legal operations and thoughtful AI implementation

The anticipated base salary for this position is $98,800 to $123,500. The actual base salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held.
